Invensys Software Systems Division announces reorganization, management changes

Invensys Software Systems, a division of Invensys plc, today announced a major reorganization of its business operating units and related management structure.

HERNDON, Va., July 9, 2001 — Invensys Software Systems, a division of Invensys plc, today announced a major reorganization of its business operating units and related management structure.

These changes are designed to provide a solid platform for developing, delivering, and supporting the division's integrated supply chain, automation, and business information solutions on a global basis.

"Any number of companies can provide elements of CRM, ERP, supply chain, and industrial automation solutions," said Bruce A. Henderson, divisional chief executive. "But only Invensys Software Systems can provide a seamless end-to-end solution that goes from customer order to finished product, from shop floor to loading dock, from sensor to boardroom. We've reorganized our various operating units to be able to maximize the unprecedented solution capabilities resident within the division."

The new Invensys Software Systems organization includes two new focused product/technology/service groups and four new regional solution delivery businesses.

One of the new product groups will develop automation and real-time information solutions for customers across the process, discrete, and hybrid industries. The group comprises both Wonderware and Invensys Process Syste Process Systems includes Triconex, Foxboro I/A Series Systems, Foxboro Measurement and Instrumentation, Invensys Performance Solutions, and Global Customer Support. Joe Cowan, formerly president of Wonderware Corporation, is president.

A new APV Products Group will supply process and automation equipment for the food and beverage industries. This includes equipment such as homogenizers, heat exchangers and other processing and controls equipment formerly manufactured by APV SysteHenderson will serve as the interim president of this group.

"Our intent in creating these two products groups is to bring together our well-established names in the industrial automation industry and take advantage of their recognized software, hardware, and service strengths," Henderson said. "In addition, we have created four regional business units which will leverage the significant engineering and systems integration capabilities within the division to deliver customized, platform-independent solutions to our global customers."

The four regional business units are:

* Invensys Process Systems Europe, the Middle East and Africa, headed by Don Sorterup, president, who also is vice president of global accounts

* Invensys Process Systems North America, headed by Mike Caliel as president

* Invensys Process Systems Latin America, headed by Ricardo Agostinelli, president

* Invensys Software Systems Asia Pacific, headed by W.C. Lee, president. The Asia Pacific region also will manage activities for the ISS Division's Baan group in addition to the Invensys Process Systems and APV groups

"These new regional business units offer customers systems, services and solutions targeted at improving their return on assets," Henderson noted." The regional centers will deploy not only the full complement of systems and services from Invensys - including Foxboro, Triconex, Baan, Wonderware and others - but also those available from other suppliers. Our goal is to create the best solutions for our customers while providing them with more innovative and advantageous pricing structures, such as committed return contracts."

The ISS Division's Baan and New Ventures units are unaffected by the organizational changes. The Baan Product Group, headed by Laurens van der Tang as president, includes software from the Baan organization, which was acquired last year by Invensys, as well as supply chain management software from CAPS Logistics and customer relationship management software from Invensys CRM. The New Ventures group will maintain its focus on business development activities for the ISS Division under its president, John Sharood.
